Terms of Service

1. Acceptance of Terms

By accessing and using Adlio ("Adlio", "Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. Adlio is a SaaS platform that lets advertisers connect their Meta (Facebook & Instagram) account once and then bulk-upload images, videos and carousels as ads into Meta Ads Manager.

2. What Adlio Does — and Does Not Do

Adlio is a tool that connects to your Meta (Facebook & Instagram) account and, on your instruction, prepares advertising material in bulk in your Meta Ads Manager. You upload your own media and settings, and Adlio builds the matching campaigns, ad sets, creatives and ads in your ad account.

What this explicitly means:

• Adlio ALWAYS creates ads in a PAUSED (OFF) state. An ad prepared by Adlio is never live and never starts running by itself.
• Adlio never publishes, activates, schedules or launches your ads, and never turns them on. Only you can switch an ad on inside Meta Ads Manager.
• Adlio never spends your advertising budget and cannot incur ad spend on your behalf.
• Adlio does not generate, design or edit your creative content; it applies your chosen naming and switches Advantage+ creative enhancements off.

In short: Adlio prepares and parks your ads; publishing, budgets, targeting and going live remain entirely your decision and action inside Meta Ads Manager.

3. Eligibility and Authority

To use Adlio you must be at least 18 years old and have the authority to act for the advertiser, business and Meta assets you connect. If you use Adlio on behalf of a company or client, you confirm that you are authorized to bind them to these Terms and to manage their Meta ad accounts, Pages and pixels.

4. Acceptable Use Policy

You agree to use Adlio only for lawful purposes, in accordance with these Terms and with Meta's Platform Terms, Advertising Standards and Community Standards. You are solely responsible for the media, copy and ads you upload and create through the Service.

You expressly agree NOT to use Adlio to:

• Upload or publish content that is unlawful, fraudulent, misleading or deceptive
• Upload adult, pornographic, violent, hateful, discriminatory or harassing creative
• Upload content that infringes intellectual property rights, including trademarks, logos or copyrighted material you are not authorized to use
• Run ads that violate Meta's Advertising Standards, Community Standards or any applicable advertising law
• Impersonate any person or brand, or advertise on behalf of an advertiser without their authorization
• Upload malware, or attempt to disrupt, compromise or reverse-engineer the Service
• Circumvent or attempt to circumvent any security measures, rate limits or access controls
• Connect or access Meta accounts, Pages or ad accounts that you are not authorized to manage
• Resell, redistribute or sublicense access to the Service without our authorization
• Use the Service to abuse the Meta Marketing API or otherwise breach Meta's Platform Terms

5. Your Content and Authorization

Your Content: You retain ownership of the media, copy and other content you upload to Adlio. By uploading content, you represent and warrant that you have all necessary rights to use it, and you grant us a limited license to store it and transmit it to Meta on your behalf, solely for the purpose of providing the Service.

Meta Authorization: By connecting your Meta account, you authorize Adlio to act on your behalf through the Meta Marketing API to create paused campaigns, ad sets, creatives and ads, and to read the account data needed to do so. You can revoke this authorization at any time by disconnecting Meta in your settings or removing Adlio from your Facebook business integrations.

Third-Party Rights: You are solely responsible for ensuring that any content you upload or any ad you create does not infringe upon the rights of third parties. We are not responsible for any claims arising from your use of third-party content.

6. Your Responsibilities

Adlio creates ads in a PAUSED state only. You are responsible for reviewing every ad inside Meta Ads Manager before publishing it, and for the budgets, targeting, ad spend and publishing decisions you make there. You are also responsible for the accuracy of the settings you configure in Adlio, including the Facebook Page, Instagram account, Meta Pixel, ad copy, naming and UTM parameters.

We are not responsible for ad rejections, account restrictions, disapprovals, billing or ad spend on the Meta platform, all of which are governed by your relationship with Meta. We reserve the right to suspend or terminate accounts that repeatedly violate our Acceptable Use Policy.

7. You Are the Advertiser of Record

You are the advertiser. You are solely responsible for the ads you create through Adlio — their content, targeting, claims, landing pages and compliance with Meta's Advertising Standards and all applicable laws. You are responsible for providing accurate EU advertiser transparency (DSA — beneficiary and payor) information, and for having a lawful basis and any required consent for the pixel, conversion and customer data you choose to send to Meta.

8. Relationship with Meta

Adlio is an independent tool and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. Facebook, Instagram and Meta are trademarks of Meta Platforms, Inc. Your use of Meta's products remains subject to Meta's own terms and policies, and Meta may change, limit or revoke API access at any time, which can affect Adlio's functionality.

9. Subscription and Payments

Adlio currently offers a Free and a Pro plan. Where a paid subscription applies, you agree to pay all applicable fees as described on our pricing page, and subscriptions automatically renew unless cancelled before the renewal date. We may change our plans or pricing and will notify you of material changes in advance.

All payments are processed securely through Stripe. You agree to provide accurate billing information and authorize us to charge your payment method for all fees incurred.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service, which depends in part on the availability of the Meta Marketing API and other third-party providers. We may modify, suspend or discontinue any aspect of the Service at any time, and are not liable for any downtime or service interruptions.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR THAT ADS WILL BE CREATED, APPROVED OR PERFORM AS YOU EXPECT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADLIO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, AD SPEND, DATA, USE OR GOODWILL, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM YOUR USE OF THE SERVICE OR FROM ANY ACTION TAKEN BY META IN RELATION TO YOUR ADS OR ACCOUNT.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR €100 IF YOU PAID NOTHING). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE EXCLUDED BY LAW, SUCH AS LIABILITY FOR INTENT OR WILFUL RECKLESSNESS.

13. Indemnification

You agree to indemnify and hold harmless Adlio and its officers, directors, employees and agents from any claims, damages, losses or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion. Upon termination, your right to use the Service immediately ceases.

15. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Disputes shall be submitted to the competent court in the Netherlands, without prejudice to any mandatory consumer rights.

17. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect. These Terms are the entire agreement between you and us regarding the Service. You may not assign these Terms without our consent; we may assign them to a successor (e.g. in a merger or acquisition). Our failure to enforce a right is not a waiver of it. Neither party is liable for failure to perform due to events beyond its reasonable control (force majeure).
